Terms of Service

These terms govern use of the Pairing website and application, operated by C-Arrow Marketing Solutions LLC ("Pairing," "we"). By using the service you agree to these terms.

The service

Pairing provides scheduling, staffing, and team-coordination tools for provider organizations. Access is provided through accounts and workspaces administered by your organization. Features may change as the service develops.

Accounts

You are responsible for maintaining the security of your login credentials and for activity under your account. Accounts are personal and may not be shared. Your organization's administrator controls workspace membership and roles.

Acceptable use

• Use the service only as authorized by your organization and applicable law
• Do not attempt to access data belonging to other organizations or users
• Do not interfere with, probe, or disrupt the service
• Do not use the service to store or transmit unlawful content

Organizational data and health information

Workspace data belongs to the organization that entered it. Where the service processes protected health information for healthcare provider organizations, that processing is governed by written agreements with those organizations, which control in the event of any conflict with these terms.

Third-party services

Optional integrations (such as Google and Microsoft calendar sync) are subject to those providers' own terms. You may disconnect integrations at any time.

Billing, subscriptions, refunds, and cancellation

Paid access to Pairing is sold as a monthly subscription, priced per active client and billed in U.S. dollars (USD). Payments are processed by Stripe; we do not store card numbers. Unless your organization's written agreement with us says otherwise:

• Billing cycle and renewal. Subscriptions bill monthly in advance and renew automatically each cycle until cancelled.
• Cancellation. Your organization's administrator may cancel at any time from the billing settings in the application or by written notice to [email protected]. Cancellation takes effect at the end of the current billing period; the service remains available until then.
• Refunds. Fees already paid are non-refundable except for billing errors, amounts required to be refunded by law, or as provided in your organization's written agreement. If we bill you incorrectly, contact us and we will correct the charge or issue a refund.
• Price changes. We may change subscription pricing with at least 30 days' written notice; changes take effect at your next renewal, never mid-cycle.
• Non-payment. If a renewal payment fails, we will notify your administrator and retry; continued non-payment may result in suspension of paid features until the balance is settled. Organizational data is handled per the "Organizational data" section and our written agreements, not deleted on suspension.
• Promotions. Discount or pilot pricing is governed by the terms stated in the applicable order form or written agreement, including its duration and the rate that applies afterward.

Availability and changes

We work to keep the service available and secure but do not guarantee uninterrupted operation. We may modify or discontinue features with reasonable notice to affected organizations.

Disclaimers and liability

The service is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, our aggregate liability arising from use of the service is limited to the amounts paid for the service in the twelve months preceding the claim; we are not liable for indirect or consequential damages. Nothing in these terms limits obligations under written agreements between us and your organization.

Termination

Your organization's administrator may deactivate accounts within its workspace. We may suspend access that violates these terms. Provisions that by their nature should survive termination do so.

Governing law

These terms are governed by the laws of the State of Idaho. Disputes will be resolved in the state or federal courts located in Idaho.
